1. THE PARTIES
These Terms of Service constitute the Agreement between You (also referred to as Customer) and DIDWW Ireland Limited (also referred to as DIDWW, Us or We) that governs your use of the local.global service (also referred to as Service or Services) provided by DIDWW.
2. THE LOCAL.GLOBAL SERVICE
2.1. The Service provided to you is a local inbound virtual telephone number (referred to as a DID) and forwarding of calls made to the DID to your mobile phone.
2.1.1. The DID is allocated to you as a part of the Service. You are granted the right to use the DID exclusively as long as you subscribe to the Service. Any DID that has been allocated as a part of the Service will be reassigned to us immediately at the termination of the Service.
2.1.2. You may use the Service only with your mobile number that serves your mobile device. Using the Service with any other number including a virtual mobile number is prohibited.
2.1.3. By using the Service you agree to receive calls on your mobile phone. Your mobile operator’s terms and conditions will apply, and you may be charged by your mobile operator for calls forwarded as part of the Service to your mobile phone.
2.2. No Emergency Calls: The Services rendered under these Terms of Service do not support emergency calls and may not include some features common for the primary telephony service in the country where the Service is being used.
2.3. Jurisdiction Restrictions: If you reside in a jurisdiction where it is forbidden by law to offer or use internet telephony, you may not enter into this Agreement. By entering into this Agreement, you explicitly state that you have verified that the use of internet telephony is allowed in your jurisdiction.
2.4. We may at our sole discretion refuse a Customer application or order:
2.4.1. If the information provided is incomplete.
2.4.2. If we have reason to doubt the accuracy of the information, or it is not supported by the required identification or, in the case of company applications, the required authorization.
2.4.3. If the Customer is known to have committed fraud, or is bankrupt, or has given any reason to doubt his or her ability to meet their commitments under this Agreement.
2.5. We may at our discretion suspend Services for any reason, including but not limited to unlawful use, fraudulent usage patterns or any other misuse.
2.6. The Service term is one month, beginning on date that Service is activated. Subject to available balance in your account the Service will renew automatically every month until cancelled.
2.7. In order to use the Service you must register online as local.global user. You must provide us with complete, accurate and current information, and update this information when it changes.
2.8. We shall provide you with reasonable technical support, which we in our sole discretion shall consider necessary and appropriate. In the event that you experience any faults with the Service, you must notify us as soon as is practically possible.
3. ACCEPTABLE USE OF SERVICE
3.1. Service is intended for personal use. You may not resell the Service or any part of the Service.
3.2. You may not use the Service for any unsolicited commercial communication (including, without limitation, charitable or political solicitation or polling).
3.3. You agree to use the Services provided only for any lawful purposes. You may not expose any third party to any material which is unlawful, abusive, harmful, threatening, defamatory, or which in any way infringe copyright, intellectual property rights, trademarks, or which is pornographic, or any other material that may cause offence in any way.
3.4. We will not be responsible for any content transmitted by means of the Service.
4. RATES, PRICES AND PAYMENT
4.1. All prices are published on local.global website.
4.2. We reserve the right to modify prices for Services at any time, and shall notify you promptly about impending rate changes. You agree that by continuing to use the Service following a price change, you accept these price changes.
4.3. Unless stated otherwise, all prices are stated in US Dollars (USD) and are exclusive of any value added tax (VAT) or any other applicable taxes or fees.
4.4. Your local.global account is prepaid. You must top up your account to maintain a credit balance, which will allow you to purchase Services.
4.5. Top up payments may be made via credit card, in US Dollars only.
4.6. You will be charged in advance for each monthly service period, beginning from the date of Service activation, by debiting your prepaid account balance.
4.7. By ordering any Service, you explicitly allow us to directly debit your prepaid account and in case there is insufficient credit in the account, to charge your credit card(s) that we have on file, to pay for the Service.
4.8. If your credit balance is insufficient, Services may be automatically suspended until further credit is applied.
4.9. You will not be entitled to a reimbursement of any prepaid charges. No refunds will be made for unused Services. No refunds or credits will be given if you cancel the Service before the end of a full month period.
4.10. Any billing dispute regarding the Service should be notified via email to firstname.lastname@example.org within 15 days. If you do not deliver such notification it shall be deemed that you have waived your rights to dispute the charges.
5. COLLECTION AND USE OF INFORMATION
5.1. We may store and process information in Europe, the United States, and in other countries where we may operate facilities.
5.2. By using the Service you give your express consent to the transfer of your personal information outside of your country.
5.3. We shall have the unconditional and irrevocable right to disclose any information we deem necessary to comply with any law, regulation, request or complaint received from any regulatory or governmental body, or any licensed telecommunications carrier, in connection with services offered to you.
6. NO WARRANTIES
6.1. We will endeavor to provide services that are reasonably fault free, and that Service is reasonably uninterrupted.However, we cannot provide a fault free Service. We give no warranty that Services shall be continuous, or will be free from faults.
6.2. We give no warranty or guarantee that the Service is satisfactory or suitable for your purposes. All warranties related to the Service are excluded, even if implied by statute.
7. LIMITATION OF LIABILITY
7.1. We shall not be liable for any interruption, delay or failure in Service resulting from any matter or event outside of our reasonable control.
7.2. We shall not be liable for any indirect, incidental, special or consequential damages or for interrupted communications, lost data, or loss of profit, or economic loss arising out of or in connection with the Service and in particular shall not be liable for any delay in rectification of any such problem.
7.3. Our liability shall in no event exceed the charges paid by you for the Service during the affected period.
8.1. You agree to indemnify DIDWW and its parent, subsidiaries, affiliates, officers and employees against any claim or demand made by any third party, and all costs relating thereto, including without limitation attorney’s fees, arising out of your use of the Service, the violation of these Terms of Service, or the violations of any rights of another person or entity.
9.1. We may terminate this Agreement immediately without notice at any time, if:
9.1.1. You do not comply with the Terms of this Agreement;
9.1.2. Any step is taken to wind up or dissolve the Customer, a receiver, and/or manager or administrator appointed over any assets;
9.1.3. We believe that you have allowed Services to be used for any unlawful purpose or any use prohibited by these Terms of Service.
9.2. You may cancel the Service at any time from your account within local.global website.
9.3. Survival. All provisions which must survive in order to give effect to their meaning shall survive any expiration or termination of the Agreement, including without limitation, all of the Customer's representations, warranties and indemnification obligations.
10. INTELLECTUAL PROPERTY RIGHTS
10.1. Any right to use the Services, and/or any software related to the Services, granted by us to you will only be perceived as a personal, limited, non-exclusive and non-transferable license of use Services, and/or any software related to the Services, for the designated purpose only.
10.2. All rights of any nature, trade names, documents, drawings and information including any access codes provided to you, and information in our database accessed by you remain vested in us.
11.1. You may not assign the rights and obligations of this Agreement to any other party without our permission in writing.
11.2. We may assign the rights and obligations of this Agreement to a third party without your consent or notice.
12.1. New versions of these Terms of Service: We reserve the right to modify these Terms of Service at any time by providing such changes to you or by publishing the revised Terms of Service on the website. If you do not wish to accept the revised Terms of Service, you may terminate your account within the local.global website or by e-mail to email@example.com. Your continued use of the Service shall constitute acceptance to be bound by the revised Terms of Service.
12.2. Changes to Services:We may modify the Service at any time, for example to conform to legal and regulatory obligations. If you do not wish to accept these changes, you may terminate your account within local.global website or by e-mail to firstname.lastname@example.org, with effect from the date on which the change is effective.
12.3. Applicable Law: These Terms of Service shall be governed by Irish law and you consent to the exclusive jurisdiction of the Irish courts in all matters regarding them.
